Terms of Service

These Terms of Service ("Terms") govern your use of Clawy ("the Service"). By creating an account, you agree to these Terms.

Template notice. This document is a starting template based on the platform's actual behaviour, not formal legal advice. Have it reviewed by a lawyer before public launch.

1. Acceptance

By clicking "Create account" or otherwise using Clawy, you confirm that you are at least 16 years old (or 13 with parental consent in the United States), can form a binding contract, and agree to be bound by these Terms and the linked Privacy Policy.

2. The Service

Clawy provides a managed runtime for deploying AI-powered bots to messaging platforms (Telegram, Discord, Slack, WhatsApp, and others). We bill per token of LLM usage, with a markup over the underlying provider's wholesale rate.

3. Your account

You are responsible for maintaining the confidentiality of your sign-in credentials and API keys.
You are responsible for the bots you deploy and the messages they send to your end-users.
You may not use the Service to impersonate others, defraud anyone, or build a bot designed to harass or harm.

4. Acceptable use

You may not use the Service to:

Build or operate any system that attempts to circumvent the LLM provider's safety policies.
Generate, distribute, or facilitate child sexual abuse material (CSAM).
Send unsolicited bulk messages ("spam") on any messaging platform.
Conduct or facilitate illegal activity, including but not limited to fraud, money laundering, sanctions evasion, or unauthorized access to systems.
Scrape, mass-export, or attempt to reverse-engineer the Service.
Resell raw LLM API access (the Service is for shipping bots, not reselling tokens).

We may suspend or terminate your account for material breach. Suspensions for safety reasons (CSAM, sanctioned use) are immediate and final.

5. Payments and refunds

The Service is pay-as-you-go. You add credits via card (Stripe) or USDC (Base mainnet); usage is debited from your balance.
Pricing is published at /#pricing and may change with 30 days' notice. Existing balance is honored at the rate in effect when consumed.
Each request reserves an upper-bound from your balance before running, then refunds the unused portion. Balance never goes meaningfully negative.
Unspent balance is refundable to the original payment method within 60 days of top-up, minus any non-refundable processor fees. USDC top-ups can be withdrawn back to your wallet. Email support@clawy.io to initiate a refund.
We do not refund balance consumed by usage (your bot's actual token spend), even if the bot's output was unexpected.

6. Your content

You retain ownership of all content you upload, including bot configurations, code in the IDE, and bot conversations. You grant Clawy a limited license to process this content solely to operate the Service.

7. Our intellectual property

Clawy, the platform, the IDE, the dashboard, and our brand are owned by us. These Terms grant you a limited, revocable, non-exclusive license to use the Service.

8. Warranty disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate, incomplete, or unsafe — you are responsible for any decisions made based on them.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 100.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

10. Indemnity

You agree to defend and indemnify Clawy against claims arising from your use of the Service, your bots' behaviour toward your end-users, or your violation of these Terms.

11. Termination

You may close your account at any time from Settings. We may terminate accounts for material breach. On termination, we hard-delete your data within 30 days (subject to legal retention obligations like tax records).

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Clawy is incorporated, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts of that jurisdiction.

13. Changes

Material changes will require you to re-accept on next sign-in. Continued use after a material change constitutes acceptance.
